Terms and Conditions
Introduction
Please read the following agreement and click on "I accept" at the end in order to complete your subscription to Preparing for Sunday.
The agreement uses standard legal terms and rules to protect you, us, and the holders of the copyrights. In essence the agreement says that:
1. You agree to place the Sunday readings only on your Website, not to change the readings, and to keep the copyright notices on the material you receive.
2. You agree to take reasonable measures to keep your password confidential.
3. You agree not to use the readings for any other purpose.
4. We say we’ll do our best to deliver the product as described. But if problems arise, our liability is limited.
5. Either one of us can terminate this agreement at any time.
Subscriber Agreement
1. Grant of License for Subscriber and Password
Living the Good News grants you a non-exclusive, non-transferable license to use Preparing for Sunday (the "Product") for online access to the Living the Good News Website, www.preparingforsunday.com, and to include the Product on your authorized Website, provided that (i) the Product is installed on only the authorized Website; (ii) the Product is not modified; (iii) all copyright and trademark notices are maintained on the Product; and (iv) you agree to the terms of this agreement. You may not transfer or extend this license to others. The Product is to be used only by you and those who have access to your authorized Website.
2. Ownership
You are licensed to use the Product for as long as you subscribe to the Product and this agreement remains in effect. Ownership of the Product and all intellectual property rights therein remain with Living the Good News and its content providers. Any other use of the Product by any person, business, corporation, government organization or any other entity is not permitted and is in violation of this agreement.
3. Permitted Uses
You will be permitted online access to the Preparing for Sunday Website in order to link to the Product on your authorized Website. Your patrons are permitted online access to the Product and may print copies of the readings for their private use only. You agree that your patrons’ use, other than as indicated above, is a violation of this agreement.
4. Prohibited Uses
Altering, recompiling, copying, reselling, redistributing, publishing, transmitting to another Website and archiving the Product in any form or medium are prohibited. You agree that you will not circumvent Living the Good News’ control systems.
5. Product Protection
The Product contains material that is protected by United States Copyright and Trademark laws and by international treaty provisions. Living the Good News expressly reserves all rights not granted to you herein. You may not remove any proprietary notice of Living the Good News or any content provider from any copy of the Product.
6. Disclaimer of Warranties; Limitation of Liability; Indemnification
Living the Good News warrants that it is entitled to grant you the license granted in this agreement. However, the Product is provided "as is" without warranty, expressed or implied, but not limited to, warranties of performance, fitness for a particular purpose, or warranties as to the accuracy or completeness of the Product. Neither Living the Good News, nor any individual or other party involved in the creation, production or delivery of the Product shall be liable for any damages that result from your use of the Product such as lost time, computer problems, or other special, incidental, or consequential damages regardless of whether such damages result from the failure or inadequacy of any exclusive or other remedy. In no case shall Living the Good News’ liability exceed the amount of your fees paid during the 12-month period preceding any claim or notification of damages. The foregoing limitation of liability and exclusion of certain damages shall apply regardless of the success or effectiveness of other remedies.
7. Duration of Agreement and Termination
This agreement becomes effective upon your acceptance by clicking on the "I accept" button and, subject to the terms and conditions of this agreement, will remain in effect for as long as you continue to subscribe. You may terminate this agreement at any time by removing the Product from your Website. Living the Good News may terminate this agreement for any reason, including, but not limited to, if Living the Good News finds that you have violated any of the terms of this agreement. Upon notification of termination, you agree to remove immediately the Product from your Website. All provisions relating to Living the Good News’ proprietary rights shall survive the termination of this agreement.
8. Failure of Performance
Following online access approval, you will be permitted to receive online access to the Product at any time. Living the Good News, however, will not be liable for any delay, downtime, transmission error, software or equipment incompatibilities, force majeure or other failure of performance whether such failure or performance is caused by Living the Good News or an outside service provider contracted with by Living the Good News. Living the Good News will use commercially reasonable efforts to correct any material performance problems brought to its attention and may suspend performance pending such correction. Living the Good News’ responsibility does not extend beyond such efforts.
9. General
This agreement shall be construed, interpreted and governed by the laws of the State of Colorado without regard to conflicts of law provisions thereof. The exclusive forum for any disputes arising out of or relating to this agreement shall be an appropriate federal or state court sitting in Denver County, State of Colorado, USA. This agreement shall constitute the entire agreement between the parties hereto. Any waiver or modification of this agreement shall only be effective if it is in writing and signed by both parties hereto. If a court of competent jurisdiction finds any part of this agreement invalid or unenforceable, the remainder of this agreement shall be interpreted so as to reasonably affect the intention of the parties.
